DRAFT FOR LICENSED COUNSEL REVIEW · These drafts require adoption before private beta launch.

Draft for licensed counsel review

This is an attorney-review draft, not a representation that legal review or legal compliance has been completed. The operating entity, effective date, contact channels and jurisdiction-specific provisions must be confirmed before private beta launch. Read the Trust Center for the product's identity and anonymity model. Counsel review is required before these policies are adopted.

Membership and account responsibility

Physician Backchannel is an invite-only private beta for physicians age 18 or older. Marketing and policy pages are public. Member discussions, profiles, communities, search, polls, notifications and compensation tools require a redeemed invitation, current physician verification, separate administrator beta approval and an account in good standing. An invitation permits registration only; it is not physician verification. Provide accurate verification information, protect your sign-in credentials, do not share accounts and promptly report suspected compromise. You may use a login email different from your institutional verification email. A verification badge describes the checks performed; it does not certify competence, active licensure in every jurisdiction or the truth of a member's statements. We may request additional evidence or reverification when professional status changes or concerns arise.

Information, professional judgment and emergencies

Discussion is informational and may be incomplete, inaccurate or outdated. This service does not create a physician-patient, attorney-client or financial-advisory relationship. Use your own professional judgment and seek appropriately qualified advice for medical, legal, employment or financial decisions. Do not use the community for patient consultation, emergency assistance or instructions requiring immediate action. If someone is in immediate danger, contact emergency services; community reports are not continuously monitored emergency channels.

Your obligations when posting

Post only material you are entitled to share with community members. Do not include patient identifiers or information that could reasonably identify a patient, disclose confidential or proprietary material, impersonate another person, misrepresent credentials, doxx, threaten, harass, discriminate, solicit unlawfully or knowingly publish false factual allegations. Members may copy, archive or share content beyond the private beta, including anonymous contributions. Your clinical, ethical, employer, contractual and licensing obligations remain your responsibility. De-identification requires judgment; merely removing a patient's name may be insufficient.

Identity modes and limits

Pseudonymous contributions display a persistent community pseudonym and may appear on a member-only pseudonymous contribution page. Anonymous contributions hide that pseudonym from members while displaying a professional credential snapshot; they are not linked from the author's member-only contribution page. Discussions are restricted to approved beta members, but neither identity mode guarantees that recipients will keep them confidential. We retain an internal account association for administration, security, moderation, notifications, deletion and applicable legal obligations. Readers may infer identity from writing, professional context or facts you disclose. Neither mode promises absolute anonymity, confidentiality or privilege. Authorized personnel, service providers or lawful legal process may require access to information under the Privacy Policy and internal controls.

Your content and the permission to operate the service

You retain the rights you have in your content. You grant the operator a nonexclusive permission to store, reproduce, format and display your contributions to authorized beta members, provide notifications, operate search, moderate and secure the service and maintain operational backups. This operational permission does not authorize selling private verification identity or evidence. Restricted access is not a promise that third parties will respect your rights or stop copying after removal. The final license duration, territorial scope and treatment after deletion require counsel review. You must not upload content that infringes others' rights.

Enforcement and account termination

We may warn members, remove or restore content, restrict interaction, request reverification, suspend or terminate access under the Community Guidelines and Moderation Policy. We may restrict access while evaluating serious safety or credential concerns. Reports and decisions are recorded privately. Negative but good-faith workplace criticism is not prohibited merely because it is negative. Members may request review of a decision through the configured support process. Availability and response timing are not guaranteed. Deletion and retention exceptions are explained in the Data Requests notice.

Service changes, availability and third-party material

We may change features and policies with appropriate notice. We do not guarantee continuous availability, that verification will detect every impersonation attempt or that user-generated content is accurate. Links may lead to services with their own terms and privacy practices. Community participation does not establish an employment, recruitment or advisory relationship with the operator. This MVP has no employer or recruiter accounts, advertising, sponsored discussions or clinical consultation marketplace.

Contract provisions requiring counsel decision

COUNSEL REVIEW REQUIRED: identify the contracting operator and notice addresses; select effective date, governing law and venue; evaluate whether arbitration or any class-action waiver is appropriate; draft enforceable warranties, liability limits and indemnification consistent with mandatory law; establish the process for material changes and applicable rights. No arbitration clause, class-action waiver or monetary liability cap is adopted by this draft.
